Terms of Service

1. Introduction

Welcome to AgentEats ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our web app (the "App"), which provides meal tracking and nutritional analysis services. The App allows users to sign in with an email code, enter meal descriptions, and receive estimated nutritional values powered by AI. By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use after changes constitutes acceptance.

2. User Accounts

To use the App, sign in using a code sent to an email address you control. Use the email linked to your existing account to retain your meals and settings. Keep access to that inbox secure and do not share sign-in codes. You agree to provide accurate information and keep it updated. You are responsible for all activities under your account.

3. Subscriptions and Payments

The App offers a Free Tier allowing up to 2 meals per day, which may be modified or discontinued at any time without notice.

The Pro subscription is available for $3 USD per month, providing unlimited meals. Pricing is based on our AI costs and may increase with notice. Payments are processed through third-party providers and are non-refundable except as described below.

To request a refund, Contact Us. Refunds are granted at our sole discretion and are generally considered only within the current billing month. No post-dated refunds will be given for prior months of usage.

4. User Content

You may submit meal descriptions, prompts, and related data ("User Content"). You retain ownership but grant us a worldwide, non-exclusive, royalty-free license to use, store, and process it solely to provide the App's services, including sending prompts to third-party AI providers (LLMs) for analysis.

You represent that your User Content complies with these Terms and does not include unnecessary personal information beyond what is required for the App (as outlined in our Privacy Policy).

5. Prohibited Conduct

You agree not to:

• Use the App for illegal purposes or in violation of any law.
• Upload harmful, offensive, or infringing content.
• Attempt to hack, disrupt, or overload the App.
• Impersonate others or provide false information.
• Harvest or collect data without consent.

We may remove content or suspend accounts for violations.

6. Intellectual Property

The App, including its software, design, and content (excluding User Content), is owned by us or our licensors and protected by intellectual property laws. You are granted a limited, non-transferable license to use the App for personal, non-commercial purposes.

You may not copy, modify, distribute, or reverse-engineer the App.

7. Disclaimers and No Medical Advice

The App provides estimated nutritional information based on user inputs and AI analysis, incorporating general recommendations from the Dietary Reference Intakes (DRIs) established by the National Academies of Sciences, Engineering, and Medicine (formerly the Institute of Medicine). All nutritional values and recommendations are approximations and for general informational and educational purposes only. The App is not a medical device, health app, or substitute for professional medical advice, diagnosis, or treatment. We are not affiliated with any health organization and make no claims regarding the accuracy or suitability of the information for your specific health needs.

You should always consult a qualified healthcare professional, such as a doctor or registered dietitian, before making any changes to your diet, nutrition, or health routine based on information from the App. Use of the App is at your own risk, and we disclaim any responsibility for health outcomes or decisions made relying on the App.

The App is provided "as is" without warranties of any kind, express or implied, including but not limited to accuracy, reliability, or fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the App, including but not limited to any errors in nutritional estimates, health-related issues, or reliance on App information, even if advised of the possibility of such damages.

Our total liability for any direct damages shall not exceed the total amount you paid us for the Pro subscription in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, losses, or damages arising from your use of the App, violation of these Terms, or infringement of third-party rights.

10. Termination

We may terminate or suspend your account at any time for any reason, including violations. You may also terminate your account at any time. Upon termination, your license to use the App ends, and we will delete all your account information in accordance with our Privacy Policy.

11. Third-Party Services

The App integrates with third-party services, including Convex for authentication and data storage, Resend for email delivery, and various large language models (LLMs) for processing meal prompts to generate nutritional data. Your use of these services is subject to their terms and privacy policies. We are not responsible for third-party services.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Ontario, Canada, except for small claims court matters or where prohibited by law.

14. Miscellaneous

These Terms constitute the entire agreement between you and us. If any provision is invalid, the remainder remains in effect. No waiver of any term is a further waiver. We are not liable for delays due to events beyond our control (force majeure), such as natural disasters or AI provider outages.
